Terms of Service

The legal terms for accessing and using AskHelper AI. They apply to every account and to both free and paid plans.

1. Acceptance and operator

These Terms form an agreement between you and IE FEDOSEENKO N.A., TIN 20266459, Nikoghayos Adonts Street 4/3, Apt. 42, Yerevan 0014, Armenia ("AskHelper AI", "we", "us"). By creating an account, ordering a subscription, or using the service, you accept these Terms. If you act for an organization, you confirm that you have authority to bind it.

2. Eligibility and accounts

You must be legally able to enter into this agreement. You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for your authorized users.

3. Service and AI limitations

AskHelper AI provides a configurable website AI widget that generates answers from a customer-provided knowledge base, plus a dashboard for configuration, history, and basic analytics. Outputs are generated by probabilistic models and may be incomplete, inaccurate, or unsuitable. You must review important outputs and must not use the service as the sole basis for medical, legal, financial, emergency, or other high-risk decisions. We do not promise a particular output, accuracy, uninterrupted operation, or business result.

4. Content and intellectual property

You retain rights in documents, instructions, branding, and other material you submit ("Customer Content") and represent that you may lawfully use it. You grant us a limited, non-exclusive license to host, copy, transform, index, and transmit Customer Content only as needed to provide, secure, and support the service. We and our licensors retain rights in the service, software, design, and documentation. We may use feedback without restriction or compensation provided it does not disclose your confidential information.

5. Acceptable use

You must not use the service unlawfully; infringe third-party rights; upload malicious code; bypass limits or security; reverse engineer the service; resell access without written permission; generate dangerous or prohibited content; conduct unauthorized surveillance; or place an unreasonable load on the infrastructure. We may restrict demonstrably harmful use using proportionate measures.

6. Duties to website visitors

You determine the purposes and lawful basis for data collected through your widget and are responsible for notices, consents, your privacy policy, service instructions, allowed domains, and responses to visitors. Do not submit data you lack a lawful basis to process. Where applicable, the Data Processing Addendum governs our processing of personal data on your behalf.

7. Plans and usage limits

We offer a permanent Free plan with no trial and paid Starter, Pro, and Business plans. Free requires your own OpenRouter key. Each paid plan includes a seven-day trial that requires a payment method and is available once per organization. Current prices and limits appear on the pricing page; version 1 has no usage overage charges.

8. Billing, Merchant of Record, and taxes

Paddle processes paid orders as Merchant of Record and reseller and handles checkout, payments, applicable taxes, and billing. Checkout displays the final price, currency, taxes, and payment terms, and Paddle may appear on your statement. A payment method is required for the trial: there is no charge during its seven days, then Paddle automatically charges the price shown at checkout unless you cancel before the trial ends. We provide the service and do not store full payment-card details.

9. Auto-renewal, cancellation, and refunds

Paid subscriptions renew automatically for the same period at the then-current price until cancelled. Cancel a trial before it ends, or a renewal before the next charge, through the dashboard or available Paddle facilities; access continues through the current trial or paid period. Refunds are reviewed under our Refund Policy and mandatory law and are carried out through Paddle as Merchant of Record. Renewals are generally non-refundable except where law requires or a payment error occurred. A refund or chargeback may end paid access immediately.

10. Mandatory consumer rights

Nothing in these Terms excludes rights that cannot lawfully be waived, including mandatory withdrawal, refund, remedy, or court rights. If applicable law grants a withdrawal right for digital services, its statutory procedure, period, and exceptions apply; these Terms are not a universal waiver of that right.

11. Confidentiality, privacy, and providers

Each party will protect the other party's non-public confidential information using reasonable care and use it only for this agreement, except where disclosure is legally required. Personal-data handling is described in the Privacy Policy and, where applicable, the DPA. We use infrastructure, storage, AI, and payment providers to operate the service; their services may have separate terms. We remain responsible for our obligations but do not control independent third-party sites or services.

12. Availability and changes

We work to keep the service available, but maintenance, provider failures, security events, or force majeure may interrupt it. We may change the service and plans for legitimate technical, legal, security, or product reasons. Material adverse changes to a paid subscription or its price will apply no earlier than the next renewal with advance notice, unless law requires otherwise.

13. Suspension, termination, and data

We may suspend access for a material breach, unlawful or harmful use, a security threat, non-payment, or legal necessity. Where reasonable, we will provide notice and an opportunity to cure. You may stop using and delete your account. On termination, access ends and data is deleted or de-identified under the Privacy Policy, DPA, and mandatory retention duties. Export data you need before deletion.

14. Disclaimers

To the maximum extent permitted by law, the service is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, absolute security, error-free operation, and uninterrupted availability. This does not limit mandatory consumer warranties.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, special, incidental, or consequential loss, or lost profits, revenue, data, or goodwill. Each party's aggregate liability under these Terms is limited to amounts paid for the service during the 12 months before the event, or USD 100 if the service was free. The limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, breach of confidentiality, your payment obligations, or liability that law does not allow to be limited.

16. Indemnity

If you use the service for business, you will defend and indemnify us against reasonable losses from third-party claims directly caused by your unlawful Customer Content, infringement of third-party rights, or material breach of acceptable use. We will promptly notify you and allow you to control the defense with reasonable cooperation; no settlement may impose liability or an admission on us without our consent.

17. Governing law and disputes

These Terms are governed by the laws of the Republic of Armenia, without conflict-of-law rules. For business customers, the competent courts of the Republic of Armenia have exclusive jurisdiction. Consumers retain any right to use a mandatory forum and the mandatory protections of their country of residence. Before filing, the parties will try in good faith to resolve a dispute through support@askhelper-ai.com.

18. General terms and contact

We may update these Terms and will notify material changes in the service or by email; continued use after the effective date constitutes acceptance unless separate consent is required. Neither party is liable for delay caused by events beyond reasonable control. If one term is unenforceable, the rest remain effective. Failure to enforce is not a waiver. You need our consent to assign this agreement; we may assign it in a reorganization or business sale while preserving user rights. These Terms, applicable policies, the order, and any DPA form the entire agreement; conflicts are resolved in this order: order, DPA for data processing, these Terms, then other policies.
